These Terms of Service ("Terms") are an agreement between you and Ferovel ("Ferovel", "we", "us", "our") for website design, development, hosting, domain and maintenance services (the "Services"). By requesting a demo, approving a website, paying an invoice, subscribing to a care plan or otherwise using the Services, you agree to these Terms and to our Refund Policy and Privacy Policy.
The Services are offered to businesses only. By using them you confirm that you act on behalf of a business and are authorized to accept these Terms for it.
1. Free demo
- We may build a demo website for your business at no cost. Viewing a demo creates no obligation to buy.
- Until you have paid for the website in full, the demo, its design, code and text remain our property. You may not copy, reproduce or publish them, or have someone else rebuild them, without paying for the website.
- Demos are built from information about your business that is publicly available and from what you tell us. We may change or take a demo offline at any time, and we will remove it on request.
2. Website price and payment
- The price of your website is agreed with you before payment and is charged once, in US dollars, through the invoice we send you. We do not take deposits.
- Payment is due once you approve the website, by the due date on the invoice. We launch the website on your domain after we receive payment in full.
- Payments are processed by PayPal, with a PayPal account or a debit or credit card. You are responsible for any fees charged by your bank or card issuer.
3. Care plans and automatic renewal
- Care plans are billed in advance for the period you choose (monthly, every 6 months or every 12 months) and renew automatically at the end of each period until you cancel. By subscribing, you authorize us and PayPal to charge your PayPal account or card for each renewal at the then-current price.
- You can cancel anytime in your PayPal account or by emailing billing@ferovel.com. Cancellation stops future renewals; your plan stays active until the end of the period you already paid for. Payments already made are not refunded, except as stated in our Refund Policy.
- Included content edits are small changes to existing content, such as text, photos, opening hours, prices or menu items. New pages, new sections, redesigns, new features and integrations are not edits; we quote them separately with your plan's discount applied. Unused edits do not carry over to the next month.
- "Unlimited small changes" on the Max plan is subject to fair use: changes are handled one request at a time, and we may treat unusually frequent or large requests as extra work.
- Response times are targets on business days (Mon–Fri, 9am–6pm ET), not guarantees.
- Without a plan, work is billed at $75 per hour with a 1-hour minimum, payable in advance or on invoice.
4. Changes to prices and plans
- We may change the price of care plans, the hourly rate, domain renewal fees and what each plan includes. For existing subscriptions, we will email you at least 30 days before a price change takes effect. The new price applies from your first renewal after the notice period.
- A period you have already paid for keeps the price you paid until it ends.
- If you don't agree with a change, you can cancel before it takes effect. If you don't cancel, the change applies to you from that renewal.
5. Hosting
We host websites on third-party infrastructure that we choose and may change. We work to keep your website fast, secure and online, but we do not guarantee uninterrupted or error-free availability. We may carry out maintenance that briefly affects your website.
6. Domains
- We register your domain and pay for its first year.
- While you have an active care plan, we renew your domain each year at no extra charge.
- Without an active care plan, domain renewals are charged to you at our then-current renewal price. We email you about a month before the renewal date with a payment link. If the renewal is not paid by the renewal date, we may let the domain expire and take the website offline, and the domain may become unavailable or be registered by someone else. We are not responsible for losses that result from an unpaid renewal.
- Domains are registered and managed in our account unless we agree otherwise. Once all amounts you owe are paid, you can ask us to transfer the domain to you; a transfer fee may apply.
7. Late payments, failed renewals and suspension
- If a payment or renewal fails or an invoice is overdue, we may suspend the Services and take the website offline after notifying you by email, until all amounts due are paid.
- If a plan ends and is not renewed, we may take the website offline at the end of the paid period. We keep the website files for at least 30 days afterwards, then we may delete them.
8. Your content and responsibilities
- You confirm that you own or have permission to use all content you provide or ask us to use, including text, logos, photos, reviews and trademarks, and that it is accurate and lawful. When we use publicly available photos to build a demo, you are responsible for confirming before launch that you may use them, or for giving us replacements.
- You are responsible for the information on your website, such as prices, opening hours, services and any legal notices your business must show.
- You agree to give us the information and approvals we need in reasonable time.
9. Ownership
- Once the website is paid for in full, you own the final design, text and graphics created specifically for your business.
- We keep ownership of our own tools, code, components, templates and know-how, which we may reuse. We grant you a permanent, non-exclusive license to use them as part of your website.
- Once all amounts due are paid, we provide the website files on request, as they are. We may show your website in our portfolio and marketing unless you ask us in writing not to.
10. Search engines and results
Local SEO in our plans means optimizing your website's content, keywords, titles and technical setup for searches in your area. Search rankings, traffic, calls, leads and sales depend on search engines, competitors and many factors outside our control. We do not guarantee any particular ranking or business result.
11. Third-party services
The Services rely on third parties such as PayPal, hosting providers, domain registrars and Google. Their own terms apply to their services, and we are not responsible for their outages, decisions, fees or changes.
12. Disputes about payments and chargebacks
If you have a problem with a charge, contact us first at billing@ferovel.com and give us a reasonable chance to fix it. If you open a chargeback or payment dispute for a charge that was authorized under these Terms, we may suspend the Services and recover the amount and any fees it causes us.
13. Disclaimer
Except as expressly stated in these Terms, the Services are provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose, to the maximum extent permitted by law.
14. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special or consequential damages, or for lost profits, revenue, data or business opportunities. Our total liability for any claim related to the Services is limited to the amount you paid us in the three months before the claim arose.
15. Indemnity
You agree to compensate and defend us against claims, losses and costs (including reasonable legal fees) arising from content you provided or asked us to use, the information on your website, or your breach of these Terms.
16. Ending the Services
You can stop the Services by cancelling your plan. We may stop providing the Services to you at any time with 30 days' notice, or immediately if you breach these Terms. If we end a prepaid plan without cause, we refund the unused part of it.
17. Changes to these Terms
We may update these Terms from time to time. We publish the new version on this page with its date, and we email you about important changes. Changes apply from the date they are published (or the date stated in our email); continuing to use the Services after that means you accept them.
18. Governing law and disputes
These Terms are governed by the laws of the Republic of Serbia. Before starting any legal proceedings, you agree to contact us and try to resolve the issue in good faith for at least 30 days. Any dispute that cannot be resolved this way will be decided by the competent court in Serbia.
19. General
These Terms, together with any invoice or written agreement for your project, are the entire agreement between us. If a provision is found unenforceable, the rest remains in effect. Not enforcing a provision is not a waiver of it. We may transfer our rights and obligations under these Terms to another business. Notices to you are sent to the email address you gave us. These Terms are written in English, and the English version prevails.
